PROOFLY – TERMS OF USE

1. Overview of the Service

Proofly is a household-inventory and documentation tool designed to help users capture images, organize belongings, store metadata, and generate reports for insurance, valuation, or personal record-keeping. Proofly is not an insurance provider and does not guarantee coverage, claims approval, valuations, or outcomes from any third party.

2. Eligibility

You must be at least 13 years old or the age of digital consent in your region. If you are under 18, you may only use Proofly with permission from a parent or legal guardian.

3. Account Registration and Security

You agree to provide accurate information, maintain the confidentiality of your credentials, and notify us of any unauthorized access. You are responsible for all activities that occur under your account.

4. Subscriptions and Payments

Proofly offers a 7-day free trial. A valid payment method is required to start the trial. You will not be charged until the trial ends. Unless you cancel before the trial ends, your subscription automatically converts to a paid subscription and you authorize Proofly to charge your payment method. Payments are non-refundable except where required by law. You may cancel at any time through the Proofly app. Pricing may change with advance notice. Each account is eligible for only one free trial. Proofly reserves the right to limit trial eligibility to prevent abuse.

5. User Content

User Content includes photos, videos, notes, metadata, valuations, and any other materials you upload or create within Proofly. You retain all ownership rights to your User Content.

By using Proofly, you grant Proofly a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, modify, adapt, analyze, and create derivative works from your User Content, including for the purpose of training, improving, and operating our AI models and automated systems, and for the following purposes:

  • Operating, maintaining, and securing the Service;
  • Generating metadata, object recognition, and machine-learning outputs required for functionality;
  • Improving, testing, and developing new features and AI capabilities;
  • Performing internal analytics, auditing, and fraud detection;
  • Creating de-identified or aggregated data that does not identify you;
  • Complying with legal, regulatory, or insurance-industry requirements.

Proofly does not sell your User Content or permit third parties to use it for their own independent commercial purposes.

This license continues while your User Content remains in our systems. Proofly may retain and use de-identified or aggregated data indefinitely, even if you delete your account. You represent that you have the necessary rights to provide all User Content you submit.

6. Prohibited Uses

You agree not to use Proofly for illegal purposes, fraudulent insurance activity, reverse engineering, introducing harmful code, scraping, or otherwise interfering with the Service. We may suspend accounts involved in prohibited activity.

7. Intellectual Property

All trademarks, logos, software, AI models, user interface designs, and features of Proofly are owned by Proofly Inc. and protected by applicable laws. You may not reproduce, modify, or create derivative works based on Proofly without our prior written permission.

8. AI Features and Disclaimers

AI-generated identifications, descriptions, or valuations are estimates and may be incomplete or inaccurate. They should not be relied upon as professional, legal, or financial advice. Proofly is not responsible for losses arising from reliance on AI-generated output.

9. Data Storage, Backups & Availability

Proofly may maintain internal backups for operational continuity, but we do not guarantee data preservation. Proofly does not provide user-controlled backup or export functionality. You should not rely on Proofly as your sole repository of important information.

10. Third-Party Services

Interactions with third-party services (such as cloud providers, insurers, or payment processors) are subject to those parties’ terms and policies. Proofly is not responsible for third-party actions, policies, or failures.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not guarantee accuracy, reliability, or uninterrupted operation.

12. Limitation of Liability

To the fullest extent permitted by law, Proofly’s total liability for any claim arising out of or relating to the Service will not exceed the amount you paid to Proofly in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Proofly Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Service, violation of these Terms, or illegal activity related to your account or content.

14. Termination

We may suspend or terminate your access to Proofly at any time for any reason, including operational needs, legal compliance, account inactivity, or suspected fraudulent activity. When feasible, we will provide notice, but we may terminate immediately where necessary to protect our systems or comply with law. Upon termination, your User Content may be deleted, and we are not obligated to provide copies or export functionality.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes must be resolved in the state or federal courts located in Delaware, unless otherwise required by consumer protection laws in your region.

16. Changes to These Terms

We may update these Terms periodically. If we make material changes, we may provide notice within the app or by other reasonable means. Your continued use of the Service after any updates become effective constitutes your acceptance of the revised Terms.

19. Arbitration and Class Action Waiver

You and Proofly agree to resolve any disputes through binding individual arbitration, not in court. Class actions and class arbitrations are not permitted. You may opt out of this arbitration agreement within 30 days after creating your Proofly account by emailing legal@prooflyinc.com. This section survives termination of your account.
